TERMS OF USE FOR THE ECG QUIZ

Welcome to The ECG Quiz (“we,” “us,” or “our”), an online educational platform operated by Cardiac Technologies, Inc., a Texas corporation. These Terms of Use (the “Terms”) govern your access to and use of our website, applications, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree, you may not access or use the Service.

1. ACCEPTANCE OF TERMS

1.1 Binding Contract

By registering for an account, purchasing a subscription, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you are prohibited from accessing the Service.

1.2 Modifications

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice (for example, by email or by posting a notice on our website). Material changes will become effective no earlier than fourteen (14) days after notice, unless required by law. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

2. ELIGIBILITY

2.1 Age and Competency

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you have the legal capacity to enter into these Terms.

2.2 Intended Audience; No Clinical Use

The Service is intended for educational and training purposes only, primarily for healthcare professionals and students (including physicians, nurses, EMTs, nurse practitioners, physician assistants, and medical students).

THE SERVICE IS NOT DESIGNED, INTENDED, OR AUTHORIZED FOR USE IN THE DIAGNOSIS, TREATMENT, OR CARE OF ACTUAL PATIENTS. YOU AGREE THAT YOU WILL NOT USE THE SERVICE, OR ANY OUTPUT OR CONTENT GENERATED BY THE SERVICE, FOR CLINICAL DECISION-MAKING OR PATIENT CARE.

3. ACCOUNT REGISTRATION AND RESPONSIBILITIES

3.1 Registration

To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep it updated.

3.2 Confidentiality of Credentials

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use. We are not liable for losses resulting from unauthorized access due to your failure to safeguard credentials.

3.3 Account Usage

Accounts are for individual use only and may not be shared unless expressly authorized under an Organization Account (Section 3.4). You are responsible for all activity occurring under your account.

3.4 Organization Accounts

We may offer accounts to organizations such as hospitals, educational institutions, training programs, or other entities (each, an “Organization”). Organization Accounts may allow designated administrators to manage users and view aggregate or individual performance metrics as permitted by the Service.

The Organization is responsible for:

  • Ensuring that all authorized users comply with these Terms and our Privacy Policy;
  • Maintaining appropriate permissions and access controls;
  • Ensuring that no Protected Health Information (PHI) or patient-identifiable data is uploaded to the Service.

We may rely on instructions from an Organization’s authorized administrator regarding user access, data visibility, and account management. Organizations are responsible for obtaining any necessary consents from their users.

4. SUBSCRIPTIONS AND PAYMENT

4.1 Subscription Services

Certain features require a paid subscription. By purchasing a subscription, you agree to pay all applicable fees and taxes.

4.2 Payment Processing

Payments are processed by third-party payment processors. We do not store your payment card information. Your payment is subject to the processor’s terms.

4.3 Billing, Renewal, and Refunds

Subscriptions are billed at the rate in effect at the time of purchase. If auto-renewal is enabled, your subscription will renew automatically unless canceled before the renewal date.

All subscription fees are non-refundable, including for partially used billing periods, unused time, or failure to use the Service.

4.4 Cancellation and Chargebacks

You may cancel your subscription at any time, effective at the end of the current billing cycle. Unauthorized chargebacks or payment disputes may result in immediate suspension or termination of your account.

5. USE OF THE SERVICE

5.1 Educational Content Only

All quizzes, ECGs, explanations, ladder diagrams, annotations, statistics, and related materials (the “Content”) are provided solely for educational purposes and do not constitute medical advice, diagnosis, or treatment.

5.2 Prohibited Conduct

You agree not to:

  • Violate any applicable law or regulation.
  • Use the Service for patient care or real-world clinical decision-making.
  • Upload or transmit malware or harmful code.
  • Scrape, crawl, or systematically extract Content.
  • Use the Content to train, fine-tune, or validate artificial intelligence or machine learning models.
  • Reproduce, redistribute, sell, sublicense, or publicly display Content without authorization.

5.3 User-Generated Content; PHI Prohibition

If you submit user-generated content (including ECG interpretations or feedback), you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use such content in connection with the Service.

You agree not to upload any Protected Health Information (PHI), personally identifiable patient data, or real-world clinical ECGs unless fully anonymized. You are solely responsible for ensuring compliance with HIPAA, GDPR, and other privacy laws.

6. MEDICAL DISCLAIMER

6.1 No Medical Advice

The Service does not provide medical advice and does not establish a clinician–patient relationship. Licensed professionals remain solely responsible for exercising independent professional judgment.

6.2 Accuracy

We make no guarantees regarding the completeness or accuracy of Content. Use of the Service is at your own risk.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Ownership

All Content is owned by or licensed to us and protected by intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial educational purposes only.

8. THIRD-PARTY SERVICES

The Service may include links or integrations with third-party services (including analytics and security providers such as Google Analytics and Google reCAPTCHA). Use of such services is governed by their respective terms and privacy policies.

9. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM OR (B) $100.

11. INDEMNIFICATION

You agree to indemnify and hold harmless Cardiac Technologies, Inc. and its affiliates from claims arising out of your use of the Service or violation of these Terms.

12. TERMINATION

We may suspend or terminate access at any time. Sections relating to intellectual property, medical disclaimers, limitations of liability, indemnification, and governing law survive termination.

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles.

13.2 Binding Arbitration

Except for disputes eligible for small claims court or claims seeking injunctive or equitable relief for misuse of intellectual property, all disputes, claims, or controversies arising out of or relating to these Terms or the Service shall be resolved by binding arbitration.

The arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by these Terms. The arbitration shall take place in Bexar County, Texas, unless the parties agree otherwise. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

You and we agree that all claims must be brought in the parties’ individual capacities and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

13.4 Venue for Court Proceedings

For disputes not subject to arbitration, you agree to exclusive jurisdiction and venue in the state or federal courts located in Bexar County, Texas.

14. SEVERABILITY

If any provision is held unenforceable, the remainder will remain in effect.

15. WAIVER

Failure to enforce any provision is not a waiver unless in writing.

16. ENTIRE AGREEMENT

These Terms and the Privacy Policy constitute the entire agreement regarding the Service.
